About Our Client

Our client is a listed and fast‑growing organisation seeking a CS to join in the KMP role. The role is central to driving the governance agenda, strengthening oversight mechanisms, and ensuring robust compliance across multiple entities. The position requires a professional with deep company secretarial expertise, strong leadership capability, and the ability to partner closely with the Board and executive management.

Job Description
  • Lead corporate governance as KMP, advising the Board and senior leadership on statutory, governance, and regulatory matters, including emerging requirements.
  • Drive Board and Committee effectiveness, including agenda strategy, governance processes, director enablement, and annual Board evaluations.
  • Oversee full statutory and regulatory compliance under Companies Act, Secretarial Standards, FEMA/RBI, and listed‑entity-equivalent governance expectations.
  • Provide strategic oversight of corporate actions including capital structuring, ESOPs, entity restructuring, and disclosure‑linked governance.
  • Strengthen enterprise‑wide governance frameworks covering compliance monitoring, risk mitigation, ethics, and conduct‑related protocols.
  • Lead governance for multi‑entity structures including incorporations, restructurings, capital actions, and corporate documentation.
  • Serve as a key liaison for regulators, auditors, investors, and critical governance stakeholders ensuring transparent engagement and governance discipline.
  • Mentor and lead the secretarial function while partnering cross‑functionally to embed governance principles across the organisation.

The Successful Applicant

An ideal candidate should be:

  • A seasoned CS professional with minimum 15 years of experience
  • Listed entity experience in recent years is mandatory
  • Strong hands‑on experience in Board management, statutory compliance, entity oversight, and corporate governance.
  • Proven leadership experience with the ability to drive organisation‑wide governance initiatives.
  • Strong strategic orientation, business partnering skills, and comfort engaging with CXOs and Board members.
